These Terms of Service (“Terms”) govern your access to and use of the website located at realmrisk.com (the “Site”) and the beta access program for the REOS™ software, both operated by REALMRISK NG Pvt. Ltd. (“RealmRisk,” “we,” “us,” or “our”).

By accessing the Site or submitting a beta access request, you (“you” or “User”) agree to be bound by these Terms. If you do not agree, do not use the Site or submit any request.

1. Eligibility

To use the Site and request beta access, you must:

• Be at least 18 years of age, or the age of legal majority in your jurisdiction;
• Have the legal capacity to enter into binding contracts;
• Not be barred from receiving the Site or REOS software under the laws of India, your country of residence, or any other applicable jurisdiction;
• Provide accurate, current, and complete information when requested.

If you are accessing the Site on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of Services

2.1 The Website

The Site provides information about RealmRisk, our products (including REOS), our research activities (REALM AI Lab), and our consultancy services. The Site is offered for informational purposes only and does not constitute a binding offer to provide any product or service.

2.2 The REOS Beta Program

We currently operate REOS as a Beta v0.1 program available to qualifying academicians, researchers, and structural engineering practitioners. Acceptance into the beta program is at our sole discretion. We may decline or revoke beta access for any reason or no reason.

2.3 Future Services

References on the Site to products, features, or services not yet released (including but not limited to seismic risk assessment, smart material calibration, and the REALM AI Lab open-access model repository) describe our development roadmap. We make no commitment that these will be released within any specific timeframe or at all.

3. Beta Access Request Process

When you submit a beta access request through the Site, you agree that:

• The information you provide (name, email, organization, intended use) is true and accurate;
• We may use the information to evaluate your request, contact you regarding the beta program, and (if approved) issue a license activation file;
• Submission of a request does not entitle you to receive a license; approval is discretionary;
• Our use of your personal data is governed by our Privacy Policy;
• Form submissions are processed through Formspree, a third-party service. By submitting the form, you consent to your data being transmitted through Formspree’s servers.

4. Intellectual Property

4.1 Site Content

All content on the Site — including text, graphics, logos, images, software, documentation, and the underlying source code — is owned by REALMRISK NG Pvt. Ltd. or its licensors and is protected by copyright, trademark, and other intellectual property laws of India and international treaties.

4.2 Trademarks

“REALMRISK,” “REOS,” “REALM AI Lab,” and associated logos are trademarks of REALMRISK NG Pvt. Ltd. Other names mentioned on the Site (including but not limited to “OpenSees,” “Qt,” “PyVista,” “Python”) are the trademarks of their respective owners and are used here for descriptive purposes only.

4.3 Limited License to Use the Site

Subject to your compliance with these Terms, RealmRisk grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal, non-commercial information purposes. You may not copy, modify, distribute, sell, lease, or create derivative works from any portion of the Site without our prior written consent.

5. Acceptable Use

When using the Site, you agree not to:

• Use the Site or any submitted forms for any unlawful purpose;
• Attempt to gain unauthorised access to any portion of the Site, its servers, or related systems;
• Submit false, misleading, or impersonating information;
• Interfere with or disrupt the integrity or performance of the Site;
• Use automated means (bots, scrapers, crawlers) to harvest content or data, except for legitimate search-engine indexing;
• Reverse engineer, decompile, or attempt to extract source code from any portion of the Site or its underlying systems;
• Use the Site to transmit malware, spam, or other harmful content;
• Engage in any activity that violates the rights of RealmRisk or any third party.

7. Disclaimer of Warranties

THE SITE AND ANY INFORMATION PROVIDED THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

To the maximum extent permitted by applicable law, REALMRISK disclaims all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement;
• Warranties that the Site will be uninterrupted, secure, error-free, or free of viruses;
• Warranties regarding the accuracy, reliability, or completeness of any content on the Site;
• Warranties that the Site or its content will meet your specific requirements.

Engineering Disclaimer: Information presented on the Site regarding structural engineering, seismic analysis, or retrofitting is for general informational purposes only. It is not engineering advice, and reliance on it is at your sole risk. For specific engineering decisions, you must engage qualified licensed professionals.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• REALMRISK shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of the Site, even if RealmRisk has been advised of the possibility of such damages;
• REALMRISK’s aggregate liability arising from or related to your use of the Site shall not exceed INR 10,000 (Indian Rupees ten thousand) or the equivalent in your local currency;
• Nothing in these Terms shall exclude or limit any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by gross negligence or wilful misconduct.

9. Indemnification

You agree to indemnify, defend, and hold harmless REALMRISK NG Pvt. Ltd., its directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of:

• Your breach of these Terms;
• Your violation of any applicable law or third-party right;
• Your misuse of the Site or any content obtained from it.

10. Privacy

Your use of the Site is subject to our Privacy Policy, which is incorporated by reference into these Terms. Please review the Privacy Policy to understand how we collect, use, and protect your personal data.

11. Termination

We may suspend or terminate your access to the Site or the beta program at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms;
• Misrepresentation of information provided to us;
• Activity that we determine, in our sole discretion, to be harmful to RealmRisk, our users, or third parties.

Upon termination, your right to use the Site and any associated beta access ceases immediately. Sections 4, 7, 8, 9, 12, 13, and 14 of these Terms shall survive any termination.

12. Export Compliance

The Site and any associated software (including REOS) are subject to applicable export control laws of India, the United States, the European Union, and other jurisdictions. You shall not, directly or indirectly:

• Use the Site or REOS in any country, by any entity, or by any individual prohibited under such laws (including sanctions imposed by the Government of India, the United Nations, OFAC, or the European Union);
• Use the Site or REOS for the design, development, or deployment of weapons of mass destruction or their delivery systems.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

Any legal action arising out of or related to these Terms shall be brought exclusively in the courts located in Roorkee, Uttarakhand, India, and you consent to personal jurisdiction and venue therein.

Notwithstanding the above, disputes may, by mutual written consent of both parties, be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted in the English language, before a sole arbitrator mutually appointed by the parties, with the seat of arbitration in Roorkee, Uttarakhand, India.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy and (where applicable) the REOS EULA, constitute the entire agreement between you and RealmRisk concerning your use of the Site and supersede all prior or contemporaneous agreements.

14.2 Severability

If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

14.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

14.5 Force Majeure

Neither party shall be liable for any delay or failure in performance caused by events beyond their reasonable control, including natural disasters, war, government action, internet failures, or pandemic-related restrictions.

14.6 Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date at the top of this page indicates when the Terms were last revised. Material changes will be announced on the Site at least 14 days before they take effect. Your continued use of the Site after the effective date of any changes constitutes acceptance of the revised Terms.
